| ARTICLE I | - Name | ||||
| Section 1 | This association shall be known as the NMEDPUB ASSN. | ||||
| ARTICLE II | - Purpose | ||||
| Section 1 | The purpose of this association shall be to promote and maintain the highest standard of ethics between its members and the school people of New Mexico; to foster the spirit of good fellowship among its members; to support all activities that are of common interest to its members; to support all activities that are for the welfare of education in New Mexico and in the nation. | ||||
| Section 2 | To foster these purposes, all requests for support from the membership shall be submitted to the executive committee. Requests in specific subject areas or from limited groups shall be transmitted to the individual members for individual action as they may see fit. Causes or functions of general or statewide interests shall be designated as official functions if approved by the executive committee. | ||||

| ARTICLE III | - Membership | ||||
| Section 1 | Membership in this association shall be available to fulltime bookmen engaged regularly in school textbook business in New Mexico, representing publishing companies which offer for sale new basic and/or supplementary textbooks. Nothing in this section can be construed to exclude and present regular members from that status. | ||||

| Section 2 | Associate Membership, without voting privileges, shall be available to fulltime representatives of publishers selling references books, library books, and other educational aids. Depositories doing business in New Mexico are also eligible for Associate membership. | ||||
| Section 3 | Special Membership shall be available, without voting rights, to managers and other supervisory personnel of companies having representation in the membership of this association. | ||||
| Section 4 | All applications for membership shall be subject to the approval of the executive committee. | ||||
| Section 5 | The fiscal year and membership term of this association shall be September 1 to August 31, inclusive. | ||||
| Section 6 | Dues for the membership shall be the same for Regular and Associate Members. Dues for Special Membership shall be one-half the annual dues of regular members. Dues for the ensuing year shall be established each year by vote of the membership at the annual meeting. | ||||
| Section 7 | Assessments for special occasions may be adopted by the executive committee on q one time basis only. Assessments in any one fiscal year are not to exceed 40% of the current annual dues. Special members are not subject to assessments. | ||||
| Section 8 | All dues and assessments must be paid prior to acceptance for membership for the following year. | ||||
| Section 9 | Membership applications received during the fiscal year shall not become effective until the beginning of the next fiscal year, i.e. September 1, unless otherwise authorized by the executive committee. | ||||
| ARTICLE IV | - Organization | ||||
| Section 1 | The officers of this association shall be president, a vice-president, and a secretary-treasury to be elected annually by vote of the members. Only voting members in good standing shall be eligible for office and residence in New Mexico is a prerequisite for holding office. | ||||
| Section 2 | The governing body of this association shall be the executive committee consisting of the president, the vice-president, the secretary-treasurer, and two committee members elected from the New Mexico resident members. All officers shall be elected for one year terms, which shall coincide with the fiscal year, by a majority of the membership. | ||||
| Section 3 | The president shall preside at all regular or called meetings of the association and executive committee. Business shall be conducted according to Roberts Rules of Order. The president may appoint committee chairmen and members of standing or special committees under the direction of the executive committee. | ||||
| Section 4 | The vice-president shall preside in the absence of the president at any meeting and shall succeed to the presidency in the event of the death, incapacity, or removal from the state of the president. | ||||
| Section 5 | The secretary-treasurer shall maintain minutes of all meetings including meetings of the executive committee. He shall also maintain the membership rolls and records of receipt and disbursement of all funds, and furnish a detailed financial statement in writing to each member at the annual meeting. | ||||
| Section 6 | In the event of a vacancy in any office, except the president, the executive committee may designate a replacement from the membership for the remainder of the unexpired term. | ||||
| Section 7 | The administrative functions of this association shall be reserved to the executive committee. A quorum of the executive committee shall consist of a majority of its members. A majority vote of the executive committee is necessary for action. | ||||
| Section 8 | The association shall meet at least once annually. This is to be designated as the annual meeting. All officers shall be elected at this meeting, and shall assume their respective offices on September1, following the annual meeting. Notice of the meetings must be sent to the members 15 days in advance. | ||||
| ARTICLE V | - Ammendments | ||||
| Section 1 | These bylaws may be amended only by a two-thirds vote of the regular membership. Notice in writing of the proposed changes shall be furnished to the membership at least 30 days prior to the tabulation of the ballots. Voting shall be by secret ballot and may be done in a regular meeting or by mail at the discretion of the executive committee. | ||||
| ARTICLE VI | - Distribution | ||||
| Section 1 | Each member shall be furnished a true copy of the by laws within 30 days following their adoption. | ||||
| Section 2 | Any subsequent amendments of these bylaws shall be furnished to the members in writing within 30 days of their official adoption. | ||||
| Section 3 | Members joining the association shall be furnished a copy of the by laws with all amendments that are at the time currently in effect, prior to their acceptance for membership. | ||||
